Hereby Keyex Terms of Service (“Agreement”) Keyex Limited (“Keyex IO”) and any media application and platform (“Platform”) developed, published or operated by Keyex such as the www.keyex.io website, Keyex Mobile Application or the user (“User” or “you”) who accesses and uses the content, products and services offered on these Platforms without being a member, if possible, according to the characteristics of the relevant Platform, as of the execution of the actions or transactions listed in this article.

Definitions

1. Keyex: Refers to Keyex Limited and Keyex IO.
2. User: Refers to real persons who approve the User Agreement on www.keyex.io.
3. Crypto Asset: It is a digital asset that uses cryptography encryption method, can be used in exchange transactions, and is a decentralized, free market, designed as an alternative means of exchange to cash.
4. Platform: means www.keyex.io website and the mobile applications of Keyex that provide services based on Android and IOS operating systems.
5. Policy on Processing and Protection of Personal Data: It specifies the general privacy policy regarding the personal data of the real persons and open to the access of the users.
6. Services: It refers to the applications recognized to the Users to enable Keyex to perform the work and transactions defined in this User Agreement.
7. FATF: Financial Action Task Force.
8. Clarification Text: Refers to the Clarification Texts on the Platform.

Subject Of The Contract and General Provisions

1. By accepting the provisions of the Agreement, the User also accepts all kinds of statements made by Keyex on the Platform regarding the use, membership and services on the Platform. The User accepts, declares and undertakes to act in accordance with all matters specified in the aforementioned statements.
2. The User must quit the use of the Platform if the User does not accept the articles contained in this agreement. Otherwise, it is agreed by the parties that Keyex shall not be liable for any damages incurred or to be incurred by the User. Approval of this Agreement is required in order to benefit from the services on the platforms. The User accepts, declares, and undertakes that the User has read and fully understood all the articles of this agreement before becoming a member and that it will enter into force from the moment of approval by electronic approval.
3. Keyex may, at its sole discretion, unilaterally change the provisions of this Agreement and the information and content on the Platform at any time, provided that such changes are not contrary to the provisions of the applicable legislation and by announcing them on the Platform. Keyex may also add new information and content to the Platform, make it inaccessible to third parties and/or delete it. Keyex may exercise this right at any time and in any manner without any prior notice. By continuing to use the Platforms, The User is deemed to have accepted the changes made on the Platform.
4. Approval of the Agreement does not imply that it is sufficient for crypto asset transactions on the Platform. Keyex may establish certain policies regarding the use of the User’s accounts and may update such policies at any time without prior notice.

Parties’ Rights and Obligations

Users’ Rights and Obligations

1. The User must be over 18 years of age, regardless of nationality and gender. Keyex reserves the right to terminate/suspend User accounts without notice if for any reason Keyex determines that the owner is under the age of 18 or suspects that they are being used by persons under the age of 18.
2. The User agrees that all services, domain names, software codes, interfaces, contents, product reviews, videos, algorithms, drawings, models, designs and all other intellectual property rights (excluding content and applications provided by third parties) connected to the Keyex service belong to Keyex. The User agrees not to copy, reproduce and cause the dissemination of these contents, technical services and services, and not to subject them to reverse engineering processes.
3. The User accepts that the information provided during registration is correct and that the User is responsible for any damages arising from incorrect or incomplete information. In addition, the User may not transfer or sell the account, obligations and rights to third parties and may not make the membership available to anyone else under any name in any condition. In this case, Keyex has the right to cancel, suspend or terminate User's account. By Keyex exercising these rights, the User agrees to irrevocably waive all of their rights. The User is responsible for all damages incurred under this article and all criminal sanctions belong to the User.
4. By accessing the website or downloading applications belonging to Keyex from any Platform or logging into the Platform, or after filling out the registration form given on the membership page of Keyex, the User declares that the User understands and accepts this User Agreement and becomes a member with their electronic approval. The User declares that the User will provide their own photo and other contact information to the system during registration to websites, applications, or any Platform published by Keyex, and will notify Keyex without delay in case of any change in this information. The User is responsible for the accuracy and confidentiality of the information provided while subscribing to the Platform, as well as the protection of the password and username, and not sharing them with others. In the event that this information is obtained by third parties or the services are used in an unauthorized way, all actions taken by the User will be considered as if they were made by the User until the User notifies Keyex via e-mail and Keyex confirms this notification. Keyex accepts no responsibility in this case. All ownership and possession rights regarding user accounts belong to Keyex.
5. Each User can have only one User account. The User may use the Platform only for the purpose of benefiting from the Services defined in this Agreement. Keyex has the right to terminate/suspend the relevant User accounts without notice, in case there is more than one account used by the same person.
6. Keyex is not responsible in any way for the User's delay in accessing, trading or other transaction times regarding Keyex products, services or content. It is obligatory for the User to make transactions on the Keyex platforms from the bank account registered to the User's name. User’s decisions to buy, sell and use Keyex products and services are published on the Platforms and are the whole of the warnings and rules can be found on other pages. Keyex has the right to unilaterally change the rules for access, purchase, sale and use of its products or services. Keyex or its Managers or employees and the people who prepare the information on this Platform have no legal or penal responsibility for any damages, liabilities and/or losses that may arise as a result of the User’s fault.
7. The User agrees to comply with the standards of the Financial Action Task Force (FATF), which is the internationally competent body for establishing international standards for combating money laundering, financing of terrorism and financing the proliferation of weapons of mass destruction, and for adopting legal and institutional measures consistent with these standards. Users can only transact on the Platform for legal and regulatory purposes. The User agrees in advance that the User will be responsible for all legal and penal liability that may arise in the event that users are noticed to act against the law and legislation.
8. The terms of membership to the Platform or the terms of use on the Platforms where these are from Keyex products, services or contents may differ depending on the transaction limit, the Service used and for other conditions. Despite the request, Keyex will not allow any action to be taken on the User’s account if the identity and address information is not documented by the User, or if any, other information or documents requested by Keyex are not submitted in a timely manner, or if there are justifiable reasons at Keyex’s sole discretion. Identity and address information documented by the User is requested for the purpose of running the system in accordance with the international laws and regulations and the User accepts that this information and documents will be shared with the relevant official authorities if requested by the competent authorities. Keyex undertakes to share the identity, address, information and documents of the User only with real and/or legal persons in accordance with the Keyex Privacy Policy, except for the cases mentioned.
9. Keyex has the right to suspend or stop the User's membership, the use of Keyex products or services, or the rules governing their trading, if possible, or the Services for any reason at any time. In this case, Keyex may notify the User of this change through the Platforms. Transactions regarding the use of Keyex products, services or sites must be made from accounts registered under the same name as the User, credit card or other payment instruments. In case of any risk regarding the transactions, Keyex has the right to cancel such transactions at all costs to the User. Keyex cannot be held responsible for delays and transactions caused by the bank, the User or other third parties. Keyex reserves the right to request identification or other information/documentation from the relevant user regarding the transactions that it rejects, deems risky or not performed. The User is also informed that administrative authorities may request membership information from the company and in such a case the company may share User’s information.
10. The User agrees that Keyex has the right to temporarily or permanently close the account or accounts of the User that it detects as a suspicious transaction attempt, and to suspend, freeze or temporarily close the accounts of the User who performs suspicious transactions in terms of exchange workflow and software security.
11. In the event that Keyex sends crypto assets to the User by mistake in a way that causes unjust enrichment, this matter will immediately be notified to the User by means of e-mail, call, SMS, etc. If it is not returned by the User within 1 business day despite the notification, the User's account may be closed, suspended or permanently blocked by Keyex without any further notification. Again in this case, the User’s account may be reduced to negative balance by Keyex as much as the mistaken transfer and legal action may be taken. Keyex reserves the right to indemnify the direct or indirect damages incurred due to this transaction.
12. The User undertakes that the User will not use the name and/or logo of Keyex in any postings that may defame the name of Keyex, damage its commercial reputation or create unfair competition. In case of any violation of this article, Keyex reserves the right to unilaterally terminate the Agreement, block, suspend or completely delete the User's account without prior notice. In addition, Keyex shall be entitled to claim damages against the User for breach of this clause. The User agrees to waive all rights of appeal and claims arising from the application of this clause.
13. The Users agree that Keyex will not be responsible for any damages that may occur due to unauthorized use, sharing or publishing of their shares via Platforms by third parties; not to use photos, nicknames or content that are threatening, immoral, racist, contrary to the laws, international agreements, contain political messages, violate the intellectual or industrial property rights of third parties; not to send messages or comments. Also, Users ensure that the username, photos, correspondence, subject headings and nicknames to be added to the platforms comply with the rules of general morality, etiquette and law; not to contain political messages; publishing, processing, reproduction, distribution, representation, signal, audio and/or video transmission equipment, including the right to transfer or assign to third parties about the aforementioned points, correspondence, and photographs; not to act in a way that will adversely affect other Users' use of the Platforms and is solely responsible for all damages incurred as a result of such abuse to Keyex or the relevant User, and if such use is detected, Keyex has the right to close or suspend the account of the user in the relevant service; not to publish, print, reproduce or distribute material or information that is defamatory, infringing, immoral, indecent or illegal on the names of persons or institutions; not to advertise, sell or offer to sell any goods or services, engage in surveys, contests or chain letter activities; not to send information or programs that may harm the Platforms to the information or software on other Users' computers; and accepts that any recordings or materials obtained by using the services offered on the platform are entirely within the consent of the User, and that the responsibility for malfunctions, loss of information and other losses that may occur on their own computer belong to them.
14. The User name and password information required by the User in order to access the Account Information Page and perform transactions on the Platform is created by the User, and the security and confidentiality of such information is entirely the responsibility of the User. The User must use a strong password on the Platform and use the relevant password only on the Keyex Platform. The user is responsible for the accuracy and confidentiality of the information provided while subscribing to the Platform, and that the transactions carried out with his/her Username and password are carried out by him/her, that the responsibility arising from these transactions belongs to him/her in advance, and that he/she does not carry out the transactions performed in this way. The User accepts, declares and undertakes that he/she will not be able to raise an objection and/or avoid fulfilling his/her obligations based on this time or objection.
15. Keyex will provide support services only through the e-mail address support@keyex.io. No support service is provided to users by any method other than this e-mail address. This is a disclosure of the matter that Keyex cannot be held responsible for any damages and losses suffered or likely to be incurred by its users due to an e-mail sent from an address other than the aforementioned e-mail address. Keyex does not ask members for a password for the support services it will provide through this address, and will not provide a crypto asset address to send crypto assets. Keyex shall not be liable for any damages arising for this reason. Keyex cannot be held responsible for any damages incurred by the User due to sites that are considered illegal by international legislation created by using the Keyex name or creating this impression.
16. The User agrees that Keyex is not responsible for the content published by Keyex or the third parties on the websites linked through the Platform.
17. By accepting this Agreement, the User is deemed to have read and accepted all the explanations made by the authorized institutions regarding all crypto assets and to be made thereafter.

Keyex’s Rights and Obligations

18. Since Keyex does not determine the prices on the Platform, Keyex cannot be held responsible for the losses incurred by the users due to the changes in the prices and for the damages that arise or may arise.
19. Keyex does not engage in investment advisory activities, nor does it offer any trading advice on the Platforms. Keyex cannot be held responsible in any way for the purchase and sale transactions made by the user on a buying and selling platform other than Keyex, and for the losses that arise or may arise from these transactions.
20. Keyex is authorized to block the assets in the User's account upon notification of the banks due to blocking requests from judicial and/or administrative authorities and as a result of requests from these authorities to the banks. Keyex shall not be held legally or criminally liable due to the implementation of this article by Keyex within the framework of the rules of honesty and good faith.
21. Keyex cannot be held responsible for the damages, losses, negative or positive damages of the User or third parties arising or to arise from the misuse of crypt assets. The Users are personally responsible for legal responsibilities, all costs and tax liabilities related to the use of Keyex products, services, sites or contents. Keyex cannot be held responsible for the costs and tax liabilities of the Users resulting from their gains and losses.
22. Keyex undertakes to ensure the security of the user who is a member of the Platform by acting as a prudent trader. In this context, The User's savings are safely stored against a possible cyber attack. Despite the fulfillment of this commitment by Keyex, Keyex cannot be held responsible for any reason not caused by Keyex, including theft/fraud that may occur in the event that the account/system is seized by unauthorized persons and the Keyex Services are used.
23. Keyex may cancel or undo the actions taken by the User, if required by law or for security reasons, or in order to correct the system and ensure the proper operation of the system. Keyex can cancel or undo transactions made by the User. Keyex cannot be held responsible for such transactions and no rights can be claimed from Keyex.
24. Keyex has the right not to accept work orders and money transfers made by Users without giving any reason. In this case, Keyex will promptly refund the money deposited by users.
25. Keyex undertakes to announce the changes it makes on the help pages or other pages on ‘’www.keyex.io’’.
26. Keyex is a completely independent company from similar crypto asset trading platforms and is not a representative of any company, internet Platform or institution. It does not cooperate with any company. For this reason, users cannot hold Keyex responsible for the grievances experienced by Users through other similar platforms.
27. Keyex does not warrant that the use of the Platform is uninterrupted and error-free. Although the Company aims to make the Platform accessible and usable 24/7, it does not guarantee the functionality and accessibility of the systems that provide access to the Platform.
28. The fact that Keyex does not exercise the rights and powers specified in this Agreement at the time of start does not mean that these rights and powers and their use are waived, albeit implicitly. Keyex is entitled to use these rights and powers at any time in accordance with the legislation.
29. Keyex cannot be held responsible in any way for technical malfunctions that may occur on the website. Keyex cannot be held responsible for any direct or indirect damages that may arise due to short-term or long-term technical failures.
30. Keyex will communicate with the User via the e-mail address that the User has specified while registering, or by calling the phone number and sending an SMS. The user is obliged to keep his e-mail address and phone number up to date. In case of any change in the information provided during the conclusion of this Agreement, such information will be updated immediately. Keyex will not be responsible if this information is incomplete or untrue or out of date.
31. Keyex , may transfer and transfer its rights, obligations, debts and/or receivables arising from this Agreement without any permission.
32. When this Agreement is published on the site by Keyex , it becomes valid for all old/new Users.
33. Despite the fact that Keyex determines that any article or articles in this Agreement are violated by the User, failure to terminate the Agreement by Keyex , not taking legal action against the User cannot be interpreted as a waiver of these rights by Keyex . All rights of Keyex are reserved against these detected violations.
34. Keyex has the right to temporarily or permanently close, to suspend, freeze or permanently suspend. the accounts of Users who use expressions contrary to the general morality and honesty rules in their correspondence via Keyex , support@keyex.io, Live Support and Communication Center. In cases where Keyex implements this article within the framework of honesty and goodwill rules, Keyex’s legal and criminal liability cannot be claimed.

Pricing

1. Keyex reserves the right to charge a service fee to the User at a rate determined by Keyex for the purchase and sale of crypto assets, and to make changes to these fees and rates at any time without prior notice. The User shall be deemed to have been informed when Keyex announces the fees and commissions for the services offered on the Platforms. Existing fees, commissions and limits are an integral part of this Agreement, and the changes will become effective from the moment they are announced on the Platforms.
2. Uses or purchases of Keyex products, services or content made through the platforms cannot be canceled or refunded. Accordingly, the service fee and transaction fees charged by Keyex from the User are also non-refundable. The user declares and undertakes that the User accepts the provisions of this article with the approval of this Agreement in advance. The User accepts and undertakes that the User cannot hold Keyex responsible for these transactions that the User is solely responsible for the actions the User has taken.

Protection of Personal Data

Within the scope of the services offered on the Platform, Keyex may process the personal data of the User before or through the use of certain services and record them in its own data recording system in order for the User to interact with Keyex , to benefit from the content offered on the Platform and to register for membership and/or identity confirmation for information security and/or account-transaction confirmation, and to comply with regulations such as Anti-Money Laundering, Customer Recognition and Prevention of Terrorism Financing and Global Industry Regulatory Standards. Information belonging to the User may be shared with official authorities / institutions and organizations if requested by competent administrative and/or judicial authorities, in cases where it is necessary to provide information in order to protect the rights or security of the User and to the extent of the requirements of the legislation. The User can access the Clarification Text prepared by Keyex for information on the protection and use of personal data.

Intellectual Property Rights

The copyrights and all other intellectual and industrial property rights including, but not limited to, copyrights in the design of the Platform, the software and all trademarks, designs, drawings, models, logos, domain names, software codes, interfaces, content, trade dress, slogans and all other content created by Keyex in relation thereto belong to Keyex . The User may not use, share, distribute, display, exhibit, reproduce or make derivative works of the intellectual and industrial property rights subject to the ownership of Keyex or its affiliates without the written permission of Keyex or its affiliates. The User may not use the Platform in whole or in part in without the written permission of Keyex. In the event that the User acts in a manner that violates the intellectual and industrial property rights of third parties or Keyex , the User shall be obliged to indemnify Keyex and/or such third party for all direct and/or indirect damages and costs.

Statement of Irresponsibility

1. The value of crypto assets is volatile; it can change and fall. In this respect, investing in crypto assets is an economically risky activity. The User accepts, declares and undertakes that The User has been warned against all existing and potential risks specified in this Agreement, that The User will use the Platform by accepting all risks, and that other unspecified risks may be present at any time.
2. As there are certain risks associated with investing in crypto assets, The User acknowledges that it has the necessary experience and knowledge to trade and invest in crypto assets. The User acknowledges that the price of the assets subject to Crypto asset follows a highly volatile course and that users have the ability to evaluate the legal and financial returns and risks involved. Therefore, the User shall not hold Keyex , any of its directors, officers, employees, consultants, subsidiaries or affiliates liable for any adverse event that may arise or for any loss or damage arising out of or as a result of the services provided or transactions made under this Agreement.
3. The User agrees that the User assumes all financial, administrative and legal risks related to the use of crypto assets in the crypto asset companies listed on the Platforms and related transactions, and that Keyex is not responsible for any possible risks and negative consequences related to such use and transactions.
4. The crypto asset-related services offered on Keyex platforms may not be legal in some jurisdictions or may be deemed illegal in the future. The User is directly responsible for evaluating whether the use of the services on the Platforms is legal in its jurisdiction. By accepting this Agreement, the User acknowledges and agrees that The User may not be able to use the Keyex Platforms if their use is illegal in the relevant jurisdiction and that Keyex shall have no liability for this.

Applicable Law and Authority

In disputes arising out of this agreement, the provisions of British Virgin Island Courts will apply.

Evidence Agreement

The parties agree that the electronic and system records, commercial records, ledger records, microfilm, microfiche, e-mail correspondence and computer records kept by Keyex in its own database in disputes that may arise from this Agreement shall constitute reliable, binding, definitive and exclusive evidence and that this article and the parties accept that it is an Evidence Contract.

Integrity and Severability Of The Agreement

If any provision of this Agreement is held by any court, arbitration tribunal or administrative authority of competent jurisdiction to be invalid, unenforceable or unreasonable in whole or in part, this Agreement shall be deemed severable to the extent of such invalidity, unenforceability or unreasonableness and the other provisions shall continue in full force and effect.

Access to Account and User's Keyex Assets

Keyex has the right to cancel, delete, suspend and restrict the User's account without any prior notice, in case any clause in this User Agreement is violated by the User. However, even if these rights are exercised by Keyex, the User's assets within Keyex will not be affected by this situation and will be returned to the User immediately upon request, provided that there is no legal restriction on the User’s assets within Keyex. The User has the right to transfer the digital asset associated with his Digital Wallet for 1 month after deactivation, cancellation or termination of the account.

Force Majeure

In addition to the situations accepted by legal regulations, including but not limited to epidemics, natural disasters, strikes, communication problems, infrastructure and internet failures, cyber-attacks, nationwide internet outage, regulatory restrictions, improvement or renewal works related to the system, failures that may occur for this reason, power outage, bad weather conditions, events beyond Keyex’s control and which it cannot prevent despite due diligence and which prevent it from fulfilling its obligations arising from this Agreement shall be interpreted as force majeure.

Account Closing

1. The user can request complete closure of his account at any time without giving any reason. This request can only be forwarded to support@keyex.io via a selfie prepared with an ID and a signed petition. Upon this request to be submitted by the user, the user's account will be closed within 30 days from the ‘received’ date of the request.
2. The account transaction details and data of the User whose account is closed in accordance with the legal regulations and the legitimate interests of Keyex will continue to be stored by Keyex for the periods stipulated in the law.

Confirmation of the Contract

This User Agreement has entered into force from the moment it is approved by the User by reading and fully understanding all of its articles and approved in electronic environment.
